  • Supply accurate business information, brand assets, and prompt feedback on deliverables.
  • Ensure that all products, services, and content provided to us comply with applicable laws and do not infringe on third-party intellectual property.

4. Intellectual Property Rights

  • Client Ownership: Upon full and final payment, the Client owns all final deliverables, including website code, custom designs, and campaign creatives specifically produced for them.
  • Orbitly AI Ownership: Orbitly AI retains all ownership of our proprietary AI models, machine learning algorithms, automated workflows, pre-existing code libraries, and internal methodologies used to create the deliverables.

5. Payment Terms

  • Invoices are issued based on the agreed-upon schedule in your contract (monthly, milestone-based, or upfront).
  • Payment is due within 14 days of the invoice date. Late payments may incur a fee of 1.5% per month, and Orbitly AI reserves the right to pause all active campaigns and automated workflows until the balance is settled.

6. No Guarantee of Specific Results

While we utilize advanced predictive analytics and natural language processing to optimize your digital presence, Orbitly AI does not guarantee specific search engine rankings, exact lead volumes, or specific revenue outcomes. Search algorithms and market dynamics are constantly changing. We guarantee the professional execution of our strategies and adherence to industry best practices.

7. Limitation of Liability

Orbitly AI shall not be held liable for any indirect, incidental, or consequential damages, including lost profits or business interruption, arising from the use of our services, website downtime, or third-party platform outages (e.g., Google or Meta server crashes).
